Only D’ Best Brand Ambassador Program offered by Only D’ Best Commerce Private Limited (referred to as Only D’ Best) has been created to reward YOU, our loyal Customers (referred to severally as ‘Participant’, ‘You,’ Referrer’) for helping us spread our PURPOSE & MISSION of uniting consumers to raise a voice against adulteration & malpractices in food industry. You can now bring them better health and happiness by becoming our BRAND AMBASSADOR and inviting your loved ones, friends and relatives to experience healthy lifestyle and become Only D’ Best customers (referred to as ‘Referrals’). You will get rewarded for helping us spread our mission.

The following Only D’ Best Brand Ambassador Program Terms & Conditions (referred to severally as ‘the Program’, ‘Program FAQ’, ’Program Terms & Conditions’) contain important information about the Program, so please read them carefully. These Program Terms & Conditions are presented in a Program FAQ format only for your extra convenience as a Consumer and help you understand the essence of each terms & conditions in a simple language rather than the legal jargon, and yet, these constitute a binding agreement between you and Only D’ Best and will govern your participation in any and all Program offers. By participating in the Program, you agree to the website terms and conditions, website disclaimers and the website privacy policy. You are not authorised to participate in the Program, if you do not agree to all these Program Terms and Conditions in their entirety.

1. Who can join Only D’ Best Brand Ambassador Program?

Anyone over the age of 15 years can join our referral program that is called Only D’ Best Ambassador program! 3. Who can I send my invite to?

You can invite any of your loved ones, friends, relatives, neighbours, colleagues, business associates or any other persons, as long as you ask the person for their permission to send them communication about our purpose, making a choice about living a healthy lifestyle through our adulteration free, highest grade and quality food & other products & services.

Self-referrals are prohibited, and may immediately disqualify you from this Program forever. You can NOT invite family members or people sharing the same address as your home address. The Referred Customer and the Referrer cannot be the same person (for example, by using a different email address, mobile number) or the same physical address.

4. Is there a limit to number of people I can refer?

There is no limit to the number of people you can refer. However, you can have maximum 20 persons registered under this program under you at any point in time. Once you reach the limit of 20, you may remove persons from your referral network who are not actively benefiting by using healthy products & services from Only D’ Best, and in their place, invite other people who are more likely to derive health benefits from our products & services. You may remove inactive persons under you, only by visiting your account on our website or app, NOT through our call center. Maximum referrals limit of 20 is subject to change without prior intimation.

5. Is this Referral Marketing Program Or is this some Network Marketing or a Ponzi Scheme?

No. This is purely ‘Referral Marketing’. For long, Referral marketing is being used by leading brands like Citibank, American Express, Swiggy, Ola, Uber, Dropbox, Taj Hotels, Timeshare Companies, One Plus Mobile, India Bulls, Airline Reward Programs, Air bnb, and also by most hotel chains and many other industries. Instead of burning money on television & newspaper advertising to gain new customers, a Referral Marketing Program rather rewards a company’s existing, satisfied & loyal customers. Secondly, We have positioned our Program as a REFER & SAVE PROGRAM, rather than the industry practice of calling it REFER & EARN. To absolutely ensure that it never becomes an INCOME scheme, we have consciously restricted the number of referrals you can have, to maximum 20 referrals.

Thirdly, to ensure that only our regular & loyal customers of groceries & home needs products enter as well as stay in this program, we have made it mandatory for them to pay at least 30% for each of their transactions, even when they have more Referral Points in their wallets than the current transaction value. So that they can’t buy goods totally FREE.

Fourthly, to ensure that only genuine & regular customers are attracted & stay, we have kept an expiry date of 3 months for using the Referral Points by purchasing goods from our website, apps or call center.

As far as network marketing or MLM is concerned, most network marketing companies survive on ‘Selling a Kit’. Their members hardly buy the products regularly. There is an entry cost for the ‘Product & Training Kit’ or a ‘Membership Fee to join. We have NEITHER! Moreover, we have restricted our rewards not only to 20 referrals, but also restricted it only to 1-Tier (1 level), unlike Network Marketing or MLM companies which allow you a reward from the spiral of pyramids irrespective of number of levels deep down, even from people you don’t personally know.

6. Can I remove a person from my referral network? If yes, what are the consequences?

Once you reach the limit of 20, you may remove persons from your referral network who are not actively benefiting by using healthy products & services from Only D’ Best, and in their place, invite other people who are more likely to derive health benefits from our products & services. You may remove inactive persons under you, only by visiting your account on our website or app, NOT through our call center. Please note that this would be a permanent removal. You will not be receiving any points from subsequent purchases made by that person. Once removed, You shall not be able to add that person to your network again. Maximum referrals limit of 20 is subject to change without prior intimation.

7. Can I use/redeem the reward points credited in My Digital Wallet for my regular grocery purchases at Only D’ Best?

Absolutely Yes! Reward points from your Only D’ Best Digital Wallet can be redeemed to make payments for up to 70% of the ‘Net Amount Payable’ of your shopping cart, after applying discounts and voucher codes, if any, for the groceries or other home needs products purchased through our website, app or call center. You must pay the balance through any of the other modes available with us, including Cash on Delivery (COD). Reward points cannot be redeemed for cash.

8. What is the Value of 1 (one) Point?

Currently, 1 (one) point is equal to 1 (one) rupee. The Company reserves the right to modify the value from time to time.

9. Is there a limit to how much I can save or the amount I can redeem from my Only D’ Best Digital Wallet?

There is no limit to the amount you can save. However as already mentioned above, you can use the rewards points credited to your Digital Wallet, to make payments for up to 70% of your ‘Net Amount Payable’. You must pay the balance through any of the other modes available with us. Please refer the next PROGRAM FAQ/Terms & Conditions below to learn how the reward points are calculated to be able to judge for yourself how much you can save. As you will understand, how much you will save ultimately depends on the regular monthly purchasing pattern of your referrals. We make no warranties or guarantees about the amounts of purchases your referrals will make regularly.

10. How will the reward points be calculated for purchases made by my referrals?

Points will be calculated on net value of purchases made by your referrals, after adjusting returns of goods & services, if any. Our current policy is to credit 3.5% of the net value of purchases made by up to 20 of your referrals. This may help you to save up to 70% of your regular monthly grocery bills if the monthly grocery purchase value of your 20 referrals is similar to yours. This policy is subject to change without any notice. Moreover, the Points credited ratio, which is currently 3.5%, in future may vary from product to product, category to category, brand to brand, company to company, and/or from time to time.

11. When will the reward points be credited to My Savings Account?

Reward points shall be automatically credited to your Only D’ Best My Savings Account after 48 hours, but before 96 hours. This is to allow for returns, at the time of delivery, by your referrals under our ‘no questions asked returns policy’.

12. What happens to the reward points if I do not use/redeem it regularly?

The very purpose and cause of our company is to get people to adopt a healthy lifestyle, by going back to nature. We encourage you to choose highly differentiated & genuinely healthy foods & other products offered. We therefore recommend that you redeem the points in your Digital Wallet to pay for your regular monthly purchases, and enjoy the highest quality grade products with maximum savings in your monthly grocery bills by using the power of the Only D’ Best Brand Ambassador Program.

Points earned shall automatically expire after 90 days of earning them, if unused.

13. Are the points transferrable?

No. The reward points in your wallet are not transferrable.

14. How do I track my rewards?

You can sign in to our website or app at any time and track your rewards and view the current balance of reward points earned from your referrals, on My Digital Wallet section. You can also view your Reward Points History for certain periods that shows reward points earned, redemptions made by you against purchases, reversal of any points earned due to returns of purchases by your referrals, your expired points & current balance. Alternatively, you can also track your rewards by calling at our call center.

15. What happens to my reward points already credited, if my referrals purchase some items from Only D’ Best, and then return some or all of the items due to any reason whatsoever?

There may be cases of returns beyond the period normally allowed under our ‘no questions asked returns policy’, due to any genuine circumstances. In such cases your Digital Wallet shall be automatically debited to give effect to the reversal of reward points that may have been credited to your account for such purchases by your referrals.

16. What happens if any of my referrals or I are found to be misusing the no questions asked returns policy, or the cash on delivery policy, privacy policy, no spam policy or violate any other terms of use of Only D’ Best website, app or call center or violate any of the Terms or Conditions mentioned in the Brand Ambassador Program?

  1. We are a Cause Related Brand & a For Purpose Company that has created a unique platform to help consumers raise a voice against rampant adulteration & malpractices in foods & other products. We aim to offer only the highest grade and quality, thereby ensuring healthier and happier lives. We have created this Brand Ambassador Program so that more and more people come forward to spread this noble cause.

    However, If either any of your referrals or you are found to be misusing the good faith principles of no questions asked returns policy, or the cash on delivery policy, privacy policy, no spam policy or violate any other terms of use of Only D’ Best website, app or call center or violate any of the Terms or Conditions mentioned in the Brand Ambassador Program then your such referrals as well as you (hereinafter referred to as ‘Violator’) may be disqualified from enjoying the benefits under the Only D’ Best Brand Ambassador Program, by sending a termination notice in writing on the violator’s registered email address. In case violator has registered only a mobile number but not registered the email address, than a short SMS will be sent to intimate the violator by way of termination notice under this program.
  2. Only D’ Best reserves the right, at its sole discretion, to prohibit any customer, prospective customer, or an existing brand ambassador from participating in any aspect of the Program if Only D’ Best deems or suspects that such person has engaged in or has attempted to engage in any of the following: (i) acting in breach or violation of the Program Terms and Conditions of this program or terms and conditions of the website/app/call center; (ii) damaging, tampering with or corrupting the operation of the Program or Site; (iii) acting with intent to annoy, harass, or abuse any other person; (iv) any inappropriate, uncooperative, disruptive, fraudulent, potentially fraudulent, or unusual behaviour or activity; or (v) activity deemed in the sole discretion of Only D’ Best to be generally inconsistent with the intended operation of the Program. Only D’ Best shall be the sole determiner in cases of suspected abuse, fraud, or breach of these Program Terms and Conditions contained in these PROGRAM FAQ/ or intent of these Program Terms and Conditions.
  3. Any unclaimed referral rewards shall be forfeited in such cases. We encourage you refrain from any misuse of the Program and to regularly use/redeem your reward points as already mentioned hereinbefore.

17. I have read & understood the Terms and Conditions mentioned above. Are there any other reservations or terms & conditions that I must read carefully?

  1. Acceptance: Participation in the Program is considered acceptance of Program Terms and Conditions and any modifications which might be made from time to time. Only D’ Best may also, in its sole discretion, change, cancel, suspend, or modify any aspect of the Program without notice. Only D’ Best also reserves the right to disqualify any customers or prospective customers at any time from participation in the Program, without assigning any reason.
  2. Termination & Modifications: Only D’ Best, in its sole and absolute discretion, reserves the right to cancel, suspend, terminate, change or modify all or any aspect of the Program or Program Terms and Conditions at any time, without notice, for any reason whatsoever, including but not limited to changes in government rules & regulations, legal challenges or issues, make it a subscription based program, change of management or change all or any of these Program Terms & Conditions at any time, by way of website notification on the Brand Ambassador Program section with or without an email notice or sms notification to the participants of the Program. Any unclaimed referral rewards at the time of such cancellation, suspension, termination, change, or modification shall be forfeited even though such rewards may not have reached the expiry date. We encourage you to regularly use your reward points as already mentioned hereinbefore.
  3. Release: By participating in the Program, Participants release Only D’ Best, its parent company, subsidiaries, affiliates, suppliers, advertising, and promotions agencies and their respective directors, officers, employees, and agents from any and all liability for any loss, harm, damages, cost, or expense, including, without limitation, property damages, personal injury and/or death, arising out of or in any way connected to the Program and/or the use of any Program rewards.
  4. Indemnification: Participants agree to indemnify, defend, and hold Only D’ Best and its representatives and agents harmless from and against any and all third party claims, demands, liabilities, costs, or expenses, including attorney’s fees and costs, arising from, or related to any breach by the participant of any of these Program Terms and Conditions or any violation by Participant of any applicable law.
  5. Tenure: Only D’ Best Brand Ambassador Program benefits are available to you for a tenure of one year from the date of activation of your benefits under the program by virtue of acceptance of your deemed application by the Company in to this program. After one year, your participation and the benefits shall be automatically terminated, unless renewed on the renewal terms that are announced from time to time. We encourage you to regularly use your reward points as already mentioned hereinbefore, and completely redeem/use your reward points by making purchases before the automatic termination of your tenure as a Brand Ambassador within one year. Any unclaimed reward points shall be forfeited, unless your tenure is renewed by you in time.
  6. Taxability: Rewards under the program may be taxable in your hand, depending on the total value of the items purchased and the central, state, and local tax laws applicable to the Participant. Participants are solely responsible for reporting such items on their income tax returns and paying any associated tax liability. The Company shall in no way be responsible for the same.
  7. Disclaimers: Computer or mobile System: Only D’ Best disclaims any liability for damage to any computer or mobile system resulting from participating in, or accessing or downloading information in connection with the Program, and reserve the right, in its sole discretion, to cancel, modify, or suspend the Program should a virus, bug, computer problem, unauthorised intervention, or other causes beyond Only D’ Best’s control, corrupt the administration, security, or proper play of the Program.
  8. Force Majeure: Only D’ Best shall not be liable to any Participant for failure to supply any credit or reward points or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s), or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s), or request(s) prove(s) to be valid or invalid), equipment failure, threatened terrorist attacks, terrorist acts, air raid, blackout, earthquake, tornado, war, unusually severe weather, explosion, labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, or any other similar or dissimilar cause beyond control of Only D’ Best or beyond control of its representatives, vendors, suppliers, partners. Any unclaimed referral rewards at the time of such event, occurrence or action, shall be forfeited even though such rewards may not have reached the expiry date. We encourage you to regularly use your reward points as already mentioned hereinbefore.
  9. Reserved Right: Only D’ Best reserves the right to cancel or suspend the Program should it determine, in its sole discretion, that the administration, security, or fairness of the Program has been compromised in any way. Any unclaimed referral rewards at the time of such cancellation, suspension shall be forfeited even though such rewards may not have reached the expiry date. We encourage you to regularly use your reward points as already mentioned hereinbefore.
  10. Disclaimer of Warranties & Guarantees: Customers & Participants expressly understand and agree that: (a) your use of the Program is at your sole risk, the program is provided on an "as is" and "as available" basis and the company expressly disclaims all warranties, conditions and terms (collectively, "promises") of any kind, whether express or implied by statute, common law or custom, including, but not limited to, promises as to products or services offered through the use of the program, implied promises of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement; (b) Only D’ Best makes and gives no promise that (i) the program will meet your requirements, (ii) be uninterrupted, timely, secure, or error-free, (iii) the results obtained from the use of the program will be accurate or reliable, (iv) the quality of any products, services, information, or other material obtained by you through the program will meet your expectations, and (v) any errors in the service will be corrected; and (c) any material downloaded or otherwise obtained through the use of the program is accessed at your own discretion and risk, and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from the download or use of any such material.
h) Jurisdiction: This agreement and the Program Terms & Conditions are subject to jurisdiction of Courts at Mumbai only.
i) General Terms:
  1. These Program Terms and Conditions constitute the entire agreement between Participants and Only D’ Best concerning Participants’ use of the Program.
  2. The failure of Only D’ Bestto exercise or enforce any right or provision of these Program Terms and Conditions shall not constitute a waiver of such right or provision.
  3. If any provision of these Program Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Program Terms and Conditions shall remain in full force and effect.
  4. The FAQs & section titles in these Program Terms and Conditions are for convenience of the customers and participant, and yet shall have full legal or contractual effect.
  5. A person who is not a party to these Program Terms and Conditions shall have no right to enforce or receive the benefit of any of these Program Terms and Conditions.
